Missouri: two utility systems, two closing workstreams.

A park’s wastewater operating permission and drinking-water authorization should not be treated as one closing item. Start with the actual permit for each system.

01

Identify the responsible party

Missouri DNR describes the continuing authority as the entity legally responsible for permit compliance. It may be the owner, operator or an area-wide management authority; a short-term service relationship is not the same thing.

02

Separate drinking water from wastewater

DNR publishes a Permit to Dispense transfer application for drinking water. Wastewater permits have their own program and facility-specific conditions. A completed wastewater task does not, by itself, complete the drinking-water workstream.

03

Build a two-column closing file

Rhino’s proposed diligence control is a matrix with a row for each system and columns for permit, current responsible party, required submission, signature authority, agency response, operating responsibility and unresolved conditions.

Do not use a blanket notice period for every Missouri facility. Read the actual permit and obtain written confirmation of the applicable path from DNR and transaction counsel. Physical inspections and maintenance records belong in the file but are not agency approvals.

  • Obtain complete permits and agency correspondence.
  • Track the proposed successor entity consistently across documents.
  • Keep proof of submission separate from proof of agency approval.
  • Assign an accountable person for follow-up through closing.
